These Terms of Service ("Terms") govern your use of vestriva.com (the "Site") and, together with any engagement agreement we sign with you, the services provided by Vestriva Corporate Services ("Vestriva", "we", "us"). By using the Site or engaging our services, you agree to these Terms.
1. Who we are
Vestriva provides corporate back-office services — company formation, registered agent, bookkeeping, tax preparation and filing, HR and payroll support, and ongoing compliance — to US founders and international businesses operating in the United States. We are based in Reno, Nevada.
2. Engagements
Specific work is governed by the written engagement we agree with you before it starts: the scope, the deliverables, the timeline, and a fixed quote. If anything in an engagement agreement conflicts with these Terms, the engagement agreement wins for that work.
Quotes are fixed for the scope described in them. If the scope changes — additional filings, additional entities, records that need substantially more clean-up than described — we will tell you before any additional cost is incurred.
3. Your responsibilities
Our work is only as good as the information behind it. When you engage us, you agree to:
- Provide complete and accurate information, and tell us promptly when something changes — ownership, address, activity, or anything else that affects a filing.
- Respond to requests for documents or signatures in time for us to meet filing deadlines.
- Review the returns and filings we prepare before they are submitted. You remain responsible for the accuracy of information you provide.
- Pay government fees, taxes, penalties, and interest that are owed by your company. These are always separate from our service fees.
4. Content on this Site
Articles, tables, and guides on this Site — including deadlines, fee amounts, and filing requirements — are general information, current as of their publication date. Rules change, and how they apply depends on your specific facts. Nothing on this Site is advice for your particular situation, and reading it does not create a client relationship. If you want advice you can rely on, talk to us and we will look at your actual file.
5. Fees and payment
- Service fees are quoted up front and invoiced as agreed in the engagement.
- Government and third-party fees (state filing fees, franchise taxes, licenses) are passed through at cost and are non-refundable once paid to the agency.
- If an invoice is unpaid past its due date, we may pause work after notifying you. We never miss a deadline silently — if payment issues put a deadline at risk, you will hear from us first.
6. Refunds
If we have not started the work, we refund the service fee in full. If work is underway, we refund the portion not yet performed. Fees already paid to a government agency on your behalf cannot be refunded by us.
7. Confidentiality
We treat your business and financial information as confidential and use it only to perform the services, as described in our Privacy Policy. Both sides agree not to disclose the other's confidential information except as required to perform the services or by law.
8. Intellectual property
The Site and its content are owned by Vestriva. You may link to and quote our content with attribution; you may not republish it wholesale. Documents we prepare for you under an engagement are yours once the engagement is paid.
9. Limitation of liability
To the maximum extent permitted by law, Vestriva's total liability for any claim arising out of the services or the Site is limited to the fees you paid us for the specific engagement giving rise to the claim. We are not liable for indirect or consequential damages, or for penalties and interest that result from incomplete or inaccurate information provided to us or from missed client responsibilities under Section 3.
Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Termination
You may end an engagement at any time with written notice; Section 6 governs refunds. We may end an engagement if information we are given is inaccurate and not corrected, or if invoices remain unpaid after notice. On termination we hand over your records and any work product you have paid for.
11. Governing law and disputes
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Washoe County, Nevada, and both sides consent to that venue. Before going to court, we both agree to try to resolve any dispute directly first — a conversation is cheaper than a filing.
12. Changes to these Terms
We may update these Terms from time to time. The date at the top of this page shows the current version. Changes apply going forward; work already under an engagement stays on the terms it started with.
